Agreement to Terms

Services Description
Lexicologist Ltd provides professional software consultancy services, including:
- Custom web application development using modern JavaScript frameworks
- Backend development with .NET technologies
- Cloud infrastructure deployment and management on Azure
- Technical consulting and architecture design
- Performance optimization and security audits
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information necessary for project delivery
- Respond to requests for information in a timely manner
- Review and provide feedback on deliverables within agreed timeframes
- Make payments according to the agreed payment schedule
- Respect intellectual property rights and licensing agreements
Intellectual Property
Unless otherwise agreed in writing:
- Upon full payment, ownership of custom-developed code transfers to the client
- We retain ownership of our proprietary tools, frameworks, and methodologies
- Third-party software and libraries remain subject to their respective licenses
- We reserve the right to showcase completed projects in our portfolio unless confidentiality is agreed
Payment Terms
Payment terms will be specified in individual project agreements. Generally:
- Payments are due according to the agreed schedule or milestones
- Late payments may incur interest charges
- Work may be suspended if payments are not received as agreed
- All prices are exclusive of applicable taxes unless stated otherwise
Project Timelines
While we strive to meet all agreed deadlines, timelines are estimates and may be affected by factors including client feedback delays, scope changes, or unforeseen technical challenges. Any significant delays will be communicated promptly.
Changes and Scope
Changes to project scope, requirements, or specifications may require additional time and costs. All significant changes will be documented and agreed upon before implementation.
Warranties and Disclaimers
We warrant that:
- Services will be performed with professional skill and care
- Code will be developed following industry best practices
- We have the necessary rights and permissions to deliver the services
However, we cannot guarantee that software will be error-free or uninterrupted. We disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose.
Limitation of Liability
To the maximum extent permitted by law, Lexicologist Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim.
Confidentiality
We respect the confidentiality of client information and will not disclose confidential information without authorization, except as required by law. Both parties agree to protect confidential information disclosed during the course of the engagement.
Termination
Either party may terminate services with written notice. Upon termination, the client is responsible for payment of all work completed up to the termination date. We will provide all completed deliverables and transfer necessary materials.
Governing Law
These terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Changes to Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.
